PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. THESE TERMS FORM A LEGALLY BINDING AGREEMENT BETWEEN HERA TECHNOLOGIES INC. (“COMPANY,” “WE,” “US,” OR “OUR”) AND YOU (“CLIENT,” “USER,” OR “YOU”). BY ACCESSING OUR WEBSITE AT WWW.HERATECK.COM, PURCHASING OUR SERVICES, OR INTERACTING WITH OUR AI-DRIVEN SYSTEMS, YOU AGREE TO BE BOUND BY THESE TERMS.
HERA Technologies Inc. provides AI-driven lead generation services and professional software implementation and support. Our software expertise includes, but is not limited to, Google Workspace, Microsoft Systems, HubSpot, Salesforce, Centerbase, and Clio (collectively, the “Services”).
2.1 No Guarantee of Results. HERA Technologies provides leads as-is and does not guarantee that any lead will result in a sale, conversion, or specific revenue outcome.
2.2 Compliance Responsibility. The Client is solely responsible for ensuring that their use of leads complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any relevant data protection regulations (GDPR, CCPA).
2.3 Indemnification. Client agrees to indemnify HERA Technologies against any claims arising from the Client's non-compliant use of leads.
3.1 Implementation Services. Company provides configuration, migration, and support for third-party platforms (e.g., Salesforce, HubSpot). Company is an independent service provider and is not affiliated with, endorsed by, or a representative of these third-party entities unless explicitly stated.
3.2 Third-Party Terms. Your use of third-party software is governed by the respective terms and conditions of those providers. HERA Technologies Inc. is not responsible for service interruptions, data loss, or price changes initiated by third-party software vendors.
4.1 AI Utilization. Our Services rely on proprietary and third-party artificial intelligence and machine learning models to analyze data, identify patterns, and optimize lead generation.
4.2 Data Processing. By using our Services, you consent to the processing of your data (and any lead data you provide) by these AI systems. We use these technologies to improve accuracy and service delivery. We do not sell your proprietary data to third parties, but aggregated, de-identified data may be used to train and improve our algorithmic performance.
All content, algorithms, software code, and marketing strategies developed by HERA Technologies Inc. remain the sole property of the Company. Clients are granted a limited, non-exclusive license to use the deliverables for their internal business purposes only.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERA TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO COMPANY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
All fees for Services are outlined in the specific Statement of Work (SOW) or Service Agreement executed between the parties. Unless otherwise stated, all payments are non-refundable once the lead generation process or software implementation has commenced.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Los Angeles County, California.
